1. Who we are

Business Adjacent LLC is a Texas limited liability company. We make software products (each a "Service," together the "Services"). Each Service runs at its own address; these Terms apply to your use of any of them. Our current products are indexed at businessadjacent.com.

2. Agreement to these Terms

By creating an account, making a purchase, or using a Service, you agree to these Terms. If you use a Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" means the organization.

The Services are not directed to children under 13. You may use them only if you are at least 13 years old (or the minimum age required in your jurisdiction) and can form a binding contract.

Our Privacy Policy describes how we handle personal data when you use the Services. Where your use of a Service involves us processing personal data on your behalf, the Data Processing Addendum is incorporated into and forms part of these Terms.

4. Accounts

Some Services require an account. Keep your credentials confidential and the information you give us accurate. You are responsible for activity under your account. Tell us at security@businessadjacent.com if you believe your account has been compromised.

5. Workspaces and guests

Some Services (for example, ReviewTube) let an account holder run a workspace and invite guests, such as guest reviewers, to view content and leave comments. If you run a workspace, you are responsible for the guests you invite and for the content they submit, and you represent that you have any consents needed to invite them and to collect the information they provide. Guests who access a workspace by invitation agree to use it within the rules in Section 3. Personal data that guests submit to a workspace is processed on the workspace owner's behalf under the Data Processing Addendum.

6. Your content

You keep ownership of content you submit to a Service (for example, material you add to a workspace). You grant us the license needed to host, store, reproduce, process (including creating technical copies and alternate formats, such as transcodes and thumbnails), transmit, perform, and display that content solely to operate and provide the Service for you, including through the service providers listed in our Privacy Policy, and to retain copies in routine backups for a limited period. We do not sell your content, we do not use it to improve the Services, and we do not use it to train AI models — except that when you share content with us in a support request, we may use it to diagnose and fix the problem you reported (improvement relies on operational metadata analyzed in aggregate, never your content — see the Privacy Policy).

You are responsible for the content you submit. You represent that you have the rights needed to submit it and that it does not violate the law or the rights of others.

7. Fees

Where a Service is paid, the price is presented before you purchase, and payment is processed by our payment provider (Stripe). Fees are exclusive of taxes unless stated otherwise. Except as stated in Section 13 or where required by law, payments are non-refundable.

8. Our intellectual property

The Services, including their software, design, and branding, belong to Business Adjacent LLC or its licensors. These Terms do not grant you any rights in them beyond the right to use the Services as intended.

9. Copyright complaints

If you believe content hosted in a Service infringes your copyright, email legal@businessadjacent.com with: where the material is located, a description of the copyrighted work, your contact information, and a statement that you have a good-faith belief the use is not authorized by the copyright owner or the law. We will remove or disable access to infringing material and, in appropriate circumstances, terminate repeat infringers. If your content was removed and you believe that was a mistake, send a counter-notice to the same address.

10. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise the Services will be uninterrupted or error-free.

We are not responsible for delay or failure to perform caused by events beyond our reasonable control, including outages of the infrastructure providers listed in our Privacy Policy.

11. Limitation of liability

To the maximum extent permitted by law, Business Adjacent LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability for all claims relating to a Service, regardless of the theory of liability and even if we were advised of the possibility of such damages, is limited to the amount you paid us for that Service in the twelve months before the claim arose (or, if you paid nothing, one hundred US dollars).

12. Indemnification

If a third party brings a claim against Business Adjacent LLC arising from content you or your invited guests submit, from your breach of these Terms, or from your violation of law or of someone else's rights, you will defend and indemnify us against that claim, including resulting damages and reasonable attorneys' fees. We may control the defense, and you will cooperate with us.

13. Changes, suspension, and termination

You may stop using a Service at any time. We may change the Services, including adding, changing, or removing features. If we discontinue a Service you have paid for, we will give at least 30 days' notice where practicable, provide a window to export your content, and refund the unused portion of any prepaid fees.

We may remove content, or suspend access, that we reasonably believe violates these Terms or the law, and may suspend paid Services for non-payment, with notice where practicable. We may terminate your access if you materially breach these Terms. We may also terminate your access to a Service for any other reason on 30 days' notice, in which case we will refund the unused portion of any prepaid fees and give you a window to export your content.

14. Changes to these Terms

We may update these Terms. If a change is material, we will give reasonable notice (for example, by email or an in-product notice) before it takes effect. Continued use after the effective date means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Before filing any claim, each party will send the other written notice of the dispute (for us,legal@businessadjacent.com) and allow 30 days to resolve it informally. Disputes that are not resolved will be decided exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction and venue there.

16. General

If part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with the documents they incorporate, are the entire agreement between us about the Services and supersede any other statement, including statements on our marketing pages. We may assign these Terms in connection with a merger, acquisition, or sale of a Service or its assets; you may not assign them without our consent. If we do not enforce a provision, that is not a waiver of it. The sections that by their nature should survive (including Sections 6, 8, 10, 11, 12, 15, and 16) survive termination.
